Mission for this Position

Baffinland Iron Mines Corporation (“Baffinland” or the “Company”) is the owner, operator and developer of a fly-in/fly-out, direct shipping iron ore mining and logistics operation located at Mary River, on Baffin Island, in Nunavut Territory, Canada.  The operation consists of an open-pit mine, crushing and screening facilities, mine and ore haulage roads, port infrastructure and ore dock capable of loading up to Panamax size vessels during the open-water season.  As part of the planned, progressive approach to the construction and operation of the mine, the Company recently announced its plans to increase production from 5.0 Mtpa to 12.0 Mtpa through the construction of a northern railway transportation corridor.


The Senior Legal Counsel role is accountable for providing a full range of legal and advisory services in the areas including, but not limited to, corporate governance, legal and contractual compliance, commercial and vendor contracts and financial transactions. The successful candidate should be a bright, energetic, business-minded and self-motivated transactional attorney capable of working in a small team environment.


The Senior Legal Counsel role reports to the Executive Vice President, Corporate Development and is based out of the corporate office located in Oakville, ON.

Main Accountabilities

  • Assist and/or lead the negotiation, drafting or review of various commercial contracts related to the support of Baffinland operations, stakeholder relations and/or capital expansion matters including but not limited to proposals, third-party support services agreements, financing agreements, equipment leases, Inuit Impacts and Benefits agreements, construction, logistics, labour / employment, vendor, shipping and iron ore sales contracts;
  • Draft and provide input on RFP and contract templates.
  • Provide prompt, commercial, practical and sometimes complex and/or specialized legal advice (under supervision) to assigned departments
  • Be pro-active in the provision of legal support and in advising the business promptly of material legal developments and their implications
  • Maintain and develop positive and professional working relationships with all Baffinland team members
  • Provide training to internal stakeholders in order to improve their understanding of legal concepts and prevent contractual legal risks and litigation
  • Manage potentially litigious matters, combining business acumen with risk mitigation abilities
  • Provide proactive assistance on a wide range of issues including corporate legal and regulatory compliance, intellectual property, business development, and corporate finance
  • Conduct legal research, as required
  • Provide legal services in a cost-effective manner
  • Perform other duties as requested by the EVP, Corporate Development.

Main Qualifications

  • You are a practicing member of the Bar of at least one Canadian Province and are licensed to practice law in Ontario. Having a civil law and a common law degree would be considered an asset
  • You have a minimum of 8- 10 years of experience practicing commercial or transactional law or commercial litigation, with at least three years of practice with a reputable law firm
  • You show great leadership, are autonomous and have excellent legal and business acumen, giving you the confidence to take quick decisions and provide strategic advice in a stressful environment
  • Significant experience in commercial contracts, compliance and transactional matters
  • You are at ease to work in an environment where technical questions are discussed
  • You can easily manage a busy schedule and work environment;
  • You have strong negotiations, drafting and communication skills as well as a superior capacity to convince people
